Terms of Service

These terms govern your use of Edibly — the online-ordering platform, restaurant dashboard and the Edibly Kitchen app — operated by XEED Online Ltd(“Edibly”, “we”, “us”), a company registered in the United Kingdom. By creating an account, accessing or using the service, you agree to these terms. If you do not agree, do not use the service.
The service
Edibly provides software that lets food businesses take online orders under their own brand, manage menus, receive and fulfil orders (including via the Edibly Kitchen app), and accept customer payments. The service is provided to businesses (“Venues”) and their authorised staff.
Accounts
Staff accounts are provisioned by Edibly or a Venue owner; there is no public sign-up in the Kitchen app. You are responsible for keeping your login credentials secure and for all activity under your account. Tell us promptly at support@edibly.io if you believe your account has been compromised.
Acceptable use
You agree not to:
- use the service unlawfully, or to process orders you are not authorised to handle;
- attempt to disrupt, reverse-engineer, or gain unauthorised access to the service;
- upload content that is unlawful, infringing, or misrepresents your products; or
- use the service in any way that harms Edibly, its users, or third parties.
Venue responsibilities
Venues are solely responsible for their menus, pricing, allergen and product information, order fulfilment, food safety and compliance with all laws applicable to their business. Edibly provides the software but is not a party to the sale of food between a Venue and its customers.
Payments & fees
Customer card payments are processed by Stripe and settle to the Venue’s own connected account; Edibly does not hold customer funds. Any commission or subscription fees payable by a Venue to Edibly are set out in the Venue’s separate commercial agreement with us. Use of Stripe is also subject to Stripe’s terms.
Intellectual property
The Edibly software, brand and content are owned by XEED Online Ltd and licensed to you for use of the service only. Your menu, brand and business content remain yours; you grant us the licence needed to host and display it to operate the service for you.
Availability
We work to keep the service reliable but do not guarantee uninterrupted or error-free operation, and may modify, suspend or discontinue features. We are not liable for failures of third-party services (e.g. payment, hosting, push-notification or network providers) outside our reasonable control.
Disclaimers & liability
The service is provided “as is” to the fullest extent permitted by law. We exclude implied warranties to the extent permitted. Nothing in these terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or fraud). Subject to that, our total liability arising out of the service is limited to the fees paid to us for the service in the 12 months before the claim.
Termination
You may stop using the service at any time. We may suspend or terminate access if these terms are breached or where required for legal, security or operational reasons. On termination, your right to use the service ends; provisions that by their nature should survive (e.g. intellectual property, liability) continue.
Changes to these terms
We may update these terms from time to time. We will revise the “last updated” date above and, where changes are significant, take reasonable steps to notify Venues. Continued use after changes take effect constitutes acceptance.
Governing law
These terms are governed by the laws of Scotland, and the courts of Scotland have exclusive jurisdiction, except where mandatory consumer or local law provides otherwise.
